USAGE AGREEMENT

 

This agreement (Usage Agreement) governs your use of the SkillSpark websites located at www.skillspark.ca, www.skillspark.net, www.skillspark.info, and www.skillspark.org (“Websites”), as well as certain web-based SkillSpark products including any manuals, disks, computer programs, and the delivery method associated with them (the "Software Products"). By using the Software Products, you agree to be bound by the terms of this Usage Agreement. If you do not agree to the terms of this agreement, do not use the Websites or Software Products. Neither SkillSpark nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on the Websites for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors and SkillSpark expressly excludes liability for any such inaccuracies or errors to the fullest extent permitted by law.
  3. Your use of any information or materials contained in the Websites or Software Products is entirely at your own risk, for which SkillSpark shall not be liable. It shall be your own responsibility to ensure that any products, services or information available through the Websites and Software Products meet your specific requirements.
  4. These Websites and Software Products contains material which is owned by or licensed to SkillSpark. This material includes, but is not limited to, the design, layout, look, appearance and graphics. Reproduction is prohibited other than in accordance with the copyright notice, which forms part of these terms and conditions.
  5. Unauthorized use of these Websites or Software Products may give to a claim for damages and/or be a criminal offence.
  6. From time to time these Websites and Software Products may also include links to other websites. These links are provided for your convenience to provide further information. They do not signify that SkillSpark endorses the website(s). SkillSpark has no responsibility for the content of the linked website(s).
  7. You may not create a link to these Websites from another website or document without SkillSpark’s prior written consent.

 

 

Privacy Policy

 

The privacy and security of all data collected by, or submitted to, SkillSpark via these Websites and Software Products is governed by SkillSpark’s Privacy Statement.

 

 

RESTRICTIONS

 

Each user of the Software Products will have a unique User ID and Password, which is intended for that individual's use only and may not be shared with other users. If you are an individual user of our web sites, you are required to abide by this policy and not share your user ID and password with other users. If you are an administrator of an organization account, such as a school or a corporation, you are required to abide by this policy, and inform your users of the same.

 

You may not duplicate any part of the WEBSITES or SOFTWARE PRODUCTS. You may not reverse engineer, decompile, or disassemble the Software Products. You may not attempt to bypass the safe guards built into the Software Products for enforcing the provisions of certain aspects of this Usage Agreement including but not limited to controlling the duration you have access to the Software Products, single logon of a user, and/or limited number of total users for organization accounts.

 

You may not rent or lease the Software Products, or otherwise use the Software Products for any commercial purposes, including but not limited to charging a fee for the use of the Software Products directly or indirectly as part of a training program, unless expressly permitted by SkillSpark in writing. You may not transfer any of your rights under this Usage Agreement to any third party.

 

You acknowledge that the Software Products may contain software bugs, omissions, typographical, or other errors, and that SkillSpark has the right, but not the obligation, to make improvements and changes to the Software Products as SkillSpark deems necessary. When SkillSpark makes these changes, it may do so without providing notice to you or assuming any liability to you.

 

You also acknowledge and agree that the quality of the delivery of the Software Products over the Internet may vary and depends on various factors. These factors include, but are not limited to, the speed of your connection to the Internet, the availability of public and private networks which reside between your computer(s) and SkillSpark’s servers, and the load on SkillSpark’s servers at any given time. You agree that SkillSpark will have no liability to you for any variance in the quality or availability of the Software Products other than the 30 day money back guarantee explained below in the section "Limited Warranty."

 

 

COPYRIGHT

 

All content, titles and copyrights of the Websites and Software Products and any copies thereof are owned by SkillSpark Corporation, unless otherwise indicated. All title and intellectual property rights to the content which may be accessed through use of the Software Products is the property of SkillSpark and may be protected by applicable copyright or other intellectual property laws and treaties. All trademarks reproduced in these Websites and Software Products, which are not the property of, or licensed to the operator, are acknowledged on the Websites or Software Products.

 

 

TERMINATION

 

SkillSpark may terminate or cancel your subscription to the Software Products at any time should SkillSpark decide that you have violated the terms of this Usage Agreement, without assuming any liability to you.

 

 

LIMITED WARRANTY

 

When you purchase a license of one of our online e-learning courses, SkillSpark warrants your satisfaction for 30 days from your date of purchase of that product, or until you have viewed 50% of the sections of that course, whichever occurs first. You may request a full refund of your purchase, if qualified as described above, by sending us an e-mail at This e-mail address is being protected from spambots. You need JavaScript enabled to view it and provide your name, User ID, and the details of which online course you would like to get a refund for. SkillSpark will then refund your full purchase price for that course within 30 days from your request, and remove your access to it.

 

These are your sole remedies for any breach of warranty. SKILLSPARK DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AS WELL AS ANY WARRANTIES THAT THE OPERATION OF THE SOFTWARE WILL BE INTERRUPTION FREE(we do not guarantee that the availability of our web servers or that access to them are interruption free) OR ERROR FREE (we do not guarantee that the Websites or Software Products are free from bugs, omissions, typographical, or other errors.)

 

 

NO LIABILITY FOR CONSEQUENTIAL DAMAGES

 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SKILLSPARK BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE PRODUCTS, EVEN IF SKILLSPARK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME PROVINCES, STATES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

 

 

LIMITATION OF LIABILITY

 

SKILLSPARK’S ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY UNDER THIS USAGE AGREEMENT SHALL NOT EXCEED THE PRICE YOU PAID TO PURCHASE THE SOFTWARE PRODUCTS.

 

 

CHANGES TO THE USAGE AGREEMENT

 

SkillSpark reserves the right to revise this Usage Agreement and/or our Privacy Policy at any time. By your acceptance of this Usage Agreement, or by your continued use of the Software Products, you agree that SkillSpark may change the terms of this Usage Agreement without prior notice to you, and that the terms of the new Usage Agreement will govern your rights and obligations of your use of the Software Products from that point on. In the event SkillSpark changes this Usage Agreement, and you don't agree to the changes, do not use the Software Products, and immediately send us an e-mail to This e-mail address is being protected from spambots. SkillSpark would then, at its discretion, either terminate your account and provide a refund on a pro-rated basis, or restore your Usage Agreement to its previous state only for the unused portion of your licenses which have already been purchased.

 

 

MISCELLANEOUS

 

This Usage Agreement is governed by the laws of the Province of British Columbia, Canada.
